GRIMES FARMERS AND COMMUNITY MARKET

VENDOR AGREEMENT (2026)

This Vendor Agreement (this "Agreement") is entered into by and between the vendor ("Vendor") and the Grimes Farmers and Community Market ("Market"). In consideration for the limited right to use an allocated space (the "Space") in Grimes, Iowa, for the sale of goods at the Grimes Farmers and Community Market and the market management services provided by the "GFCM," and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Vendor agrees as follows:

 

1. Acceptance of Terms

By purchasing a vendor package, Vendor acknowledges that they have read, understood, and agree to be bound by all terms and conditions set forth in this Agreement.

 

2. "As Is" Condition

Vendor has inspected the Space and agrees to use the Space in its "as is" condition.

 

3. Allowed Goods

Vendor will use the Space solely for the purposes of the Market to sell agreed-upon products shared with GFCM staff and/or ancillary items. The Space shall not be used for any other purposes without the Market's prior written permission.

 

4. Prohibited Sales

No alcohol shall be sold at the Market.

 

5. Market Days

The Market will operate from June through the middle of September 2026 (no Market on the weekend of Governor Days), between the hours of 8:00 a.m. and 12:00 p.m. each Saturday.

 

6. Set-Up and Teardown

Vendors must have their stands set up by 8:00 a.m. on each Market Saturday. Stands may only be erected within the designated space assigned by the GFCM. By 12:30 p.m. on each Market Day, Vendors must disassemble their stands and clean their Space of all debris. The Space must be restored to its original condition by the Vendor before leaving.

 

7. Insurance

Prior to reserving a Space, Vendors must provide a general liability insurance policy listing the Grimes Farmers and Community Market as an additional insured. Vendors must maintain and provide proof of insurance upon request.

 

8. Indemnification

Vendor shall indemnify, defend, and hold harmless the Grimes Farmers and Community Market and its officers, directors, agents, and employees (together, the "Indemnified Parties") from any and all claims, suits, demands, debts, undertakings, or proceedings of any kind or nature, whether meritorious or frivolous, arising out of the Vendor's use of the Space, including liability caused in whole or in part by the Indemnified Parties. Vendor shall, at its own expense, appear, defend, and pay all attorneys' fees and costs incurred in connection with such claims. If any judgment is rendered against the Indemnified Parties in such action, Vendor shall, at its own expense, satisfy and discharge it.

 

9. Photographs and Promotion

The Vendor agrees that GFCM may take photographs and use them on social media accounts or the website to recognize the Vendor and promote community awareness of the Vendor's products and services. The Market does not claim ownership of the photos, and Vendors may download and use them at their discretion.
